1. Introduction & Acceptance
These Terms of Service ("Terms") are a binding legal agreement between you ("Client," "you," "your") and Pay-Engineers ("we," "us," "our") that governs your use of our website, pay-engineers.online (the "Site"), and the bespoke software development services we provide (the "Services"). By accessing the Site or engaging our Services, you agree to be bound by these Terms.
2. Description of Services
Pay-Engineers specializes in the architecture, development, and deployment of autonomous, self-hosted payment processing software ("Payment Engines"). Our services include, but are not limited to, technical consultation, software engineering, system integration, and deployment. The specific scope, features, and deliverables for each project will be detailed in a separate Statement of Work (SOW) agreement, which will supplement these Terms.
3. Client Accounts & Responsibilities
To use certain features of our Services, such as the client dashboard, you may need to register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate. You are responsible for safeguarding your password and for all activities that occur under your account.
You are also responsible for maintaining the security and compliance of the infrastructure where your Payment Engine is deployed and for any data processed by the engine after the final handover, unless otherwise specified in a separate support agreement.
4. Intellectual Property & Ownership
Our core philosophy is total ownership. Upon full and final payment for the Services as outlined in the SOW, we transfer to you the entire right, title, and interest in and to the custom-developed source code of your specific Payment Engine. We retain ownership of all pre-existing tools, libraries, and know-how used in the creation of the software, but grant you a perpetual, royalty-free license to use them as part of your delivered solution.
5. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PAY-ENGINEERS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, THAT RESULT FROM THE USE OF, OR INABILITY TO USE, THE SERVICES. OUR TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO US, IF ANY, FOR THE SERVICES DURING THE TWELVE (12) MONTHS PRIOR TO THE CLAIM.
6. Termination
Either party may terminate a project or service agreement as specified in the applicable SOW. We may terminate or suspend your access to our Site or client dashboard immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.
7. Governing Law
These Terms shall be governed and construed in accordance with the laws of [Your State/Country], without regard to its conflict of law provisions. Any disputes relating to these Terms will be subject to the exclusive jurisdiction of the courts of [Your City, Your State/Country].
8. Changes to Terms
